This month we formalized our cap table and brought real clarity to the company's ownership and leadership structure, an important step as we prepare to bring new investors on board. Ownership now stands at 40% held by Vishwanath Kannan as Founder and CEO, 27% by Adithisri Vishwanath as Co-Founder and COO, 24.79% by Midhuna Archaa, 5.21% by our advisor Megavarnan Govindaswamy, and 3% by ITNT, adding up to a clean, fully accounted-for hundred percent. As part of this restructuring, Midhuna Archaa stepped down from her director position while retaining her shareholding, a change that streamlines decision-making and concentrates day-to-day leadership in a focused core team of Vishwanath and Adithisri, supported by Megavarnan as advisor. Establishing this foundation now, before the seed round rather than during it, means we enter fundraising with a transparent, well-governed structure that gives incoming investors confidence in exactly how the company is owned and run, and removes any ambiguity that could slow a deal later.

Financial Projection & Fundraising

We completed a full 21-month financial projection and profit-and-loss model running all the way through March 2028, giving us a rigorous, month-by-month picture of the journey from pre-launch through to a sustainable, growing business. The model maps out roughly $81K in pre-launch investment to carry us through building, certifying, and manufacturing the product, followed by approximately $321K in first-year revenue, a monthly breakeven point in September 2027, and a peak cash requirement of around $145K at the moment of heaviest inventory investment. It is built on a $399 device paired with a $30-per-month subscription, a structure that gives the company two complementary and reinforcing revenue streams from day one, hardware margin at the point of sale and recurring software revenue that compounds as our user base grows. Every major assumption behind these numbers, from unit economics and gross margins to subscriber conversion and churn, is broken out in detail, so the projection functions both as the backbone of our seed fundraising conversation and as a living operating plan that we update against real costs as they come in, keeping every decision grounded in hard numbers rather than optimism.

Our website at ibtaura.com is now fully live from end to end, and it has become the single credible home for everything the company is and is building. It features complete company and About pages that introduce our leadership team, tell the story of why we exist, and lay out the values and culture that guide how we work, giving visitors a genuine sense of the people and the mission behind the product. Alongside this sits a full investor section built around our "We Are Raising" seed round, anchored by a detailed twelve-question investor FAQ that addresses the problem we solve, our business model, market size, go-to-market strategy, data privacy, and risks, together with a downloadable pitch deck and gated financial and market documents made available to serious parties on request. We also published dedicated, in-depth pages for both the Aura Clarus mobile app and the Aura Clarus desktop app, and posted our core trust documents including incorporation, tax, and trade certifications, so that investors, beta users, and press alike can find a clear, professional, and trustworthy account of who we are, what we are building, and where we are headed, all in one place.

On the software side, the Aura Clarus mobile app has been built out into a genuinely usable experience, with its full set of screens, navigation, and workout flows spanning running, cycling, hiking, gym, and calisthenics, each adapting intelligently to the activity, along with the ECG interval validation logic that underpins the accuracy of our health intelligence. The app is designed around a simple but powerful principle that sets us apart: rather than burying the user in charts and raw numbers, our AI companion speaks first and tells them what actually matters and what to do about it today, turning continuous physiological data into clear, proactive guidance. Alongside the mobile experience, the Aura Clarus desktop app has entered active development and now has its own live page on the website collecting early interest ahead of launch, extending our reach beyond the wrist and the phone to the desk where so many of our users, particularly founders and professionals, spend their days. Together these two products form the connected software layer at the heart of the Aura Clarus ecosystem, a coherent experience that follows the user across their day and consistently translates what their body is telling them into action.

Hardware Development

Our hardware reached a defining milestone this month as the PCB completed its Gerber files and became manufacturing-ready, formally closing out the core electronic design phase of the product and clearing the path to physical production. We finalized the V06 bill of materials and locked in component sourcing, carefully refining the design with an optimized selection of flash memory, motion-sensing, and power-management components while retaining the proven core of our processor, ECG front-end, and precision temperature sensor, balancing performance, reliability, and cost in a way that will hold up at scale. In parallel, the physical form of the device continued to take real shape through CAD, with the titanium housing, the inner structural frame, and the silicone band all advancing steadily in fit and finish, moving us from a schematic and a concept toward a tangible, wearable product. Taken together, these steps mean the hardware is no longer a design exercise but a defined, sourced, and increasingly build-ready system, one clear step away from prototyping and, beyond that, production.

Behind the product and the fundraising, we designed and stood up our Company OS, a five-layer automation system built so that a lean team can operate with the reach and consistency of a much larger organization. The first layer is a set of intelligence-gathering agents that continuously scout for beta leads, potential investors, press opportunities, manufacturing partners, and competitive movements, so the company always has a live view of its landscape. On top of that sits an operational layer that runs our outbound email sequences and keeps our CRM current, a centralized data memory in structured sheets that logs every contact, reply, and relationship in one organized place, and finally a daily executive brief that distills everything into a single focused morning update for leadership. This operating backbone lets us move quickly and stay organized today with limited hands on deck, and just as importantly it is designed to compound in value as we hire, giving each new team member a structured, automated system to step into rather than chaos to untangle.
